Class Definition

Complex work for the Department of Financial Regulation, Securities Division involving the direct oversight of the registration department and administrative functions for the securities division. Oversight is exercised over professional technical employees. Exercise authority in establishing objectives, standards and control measures for registrations and administrative processes. Duties are performed with significant independence under the general direction of the Deputy Commissioner for Securities. Works with Information Technology employees and third-party contractors to maintain, update and improve the Division's internal database. Serves as principal staff assistant to the Deputy Commissioner of Securities on matters pertaining to registrations, administrative and financial operations.

Examples of Work

Complex work for the Department Financial Regulation, Securities Division including the supervisory review of registration applications for broker-dealers, broker-dealer agents, and investment adviser representatives to engage in business in Vermont. Ensures firms and agents comply with the VT securities act by ongoing compliance monitoring and reviewing of firms/agents under consent orders and/or heightened supervision agreements. Serves as state administrator for the Web CRD/IARD system.

Oversee the review of annual reports of firms and individuals. Reviews, formulates, and proposes statutes and regulations as needed. Collaborate with multiple state agencies through NASAA.

Work with the Deputy Commissioner of Securities, Director of Examinations and Enforcement and the General Counsel to bring enforcement actions against firms/individuals involved in violations of Vermont Securities Law or Regulations. 

Direct strategic planning for information technology policies by directing department IT employees and third-parties as to direction and maintenance to improve division's internal systems. Prepare a variety of financial and technical reports.

Oversee the calculation and collection of fees in connection to firm and individual applications, notice and registration filings, and assessments charged to firms and individuals. Review and reconcile securities division financial records to ensure compliance. Establishes, directs, and maintains all administrative functions, policies, and procedures to ensure conformance to department rules and regulations. Serve as staff advisor to the Deputy Commissioner on matters relating to the registration department and administrative functions. Propose, policies and operational procedures as necessary to achieve department goals. Regularly evaluate the efficiency of business procedures according to organization objectives and apply improvements.

Train, supervise and provide annual performance reviews for the division Administrative Assistant and the Registration Administrator, including, interviewing, and making hiring recommendations for future personnel.

Environmental Factors

Duties are performed in a hybrid office setting in Vermont. Occasional out of state travel and work outside normal hours may be required. Private means of transportation must be available for travel. There is significant interaction with the personnel of financial services firms and with attorneys, sometimes in adversarial situations.

Knowledge, Skills and Abilities

Expertise in understanding and applying rules, regulations, policies, and statutes relating to the Vermont Uniform Securities Act

Considerable knowledge of federal securities laws, and the rules and regulations of securities industry self-regulatory organization

Ability to guide and train personnel

Knowledge of administrative and management practices and procedures

Ability to exercise judgment and discretion in applying and interpreting departmental policies and procedures

Thorough knowledge of administrative and management practices and procedures

Ability to conduct investigations into sensitive issues and render objective findings and recommendations

Ability to prepare a variety of complex financial reports and documents

Ability to correctly interpret and apply complex laws and regulations

Ability to communicate effectively, both orally and in writing

Ability to formulate long and short-range plans to accomplish division goals

Minimum Qualifications

Bachelor's degree in business administration, accounting, finance, business statistics, investment and securities, or a related field AND four (4) years or more of experience in financial services and\or a compliance field. 

OR

Associates degree in business administration, accounting, finance, business statistics, investment and securities, or related field AND (6) years of experience in the financial services and/or a compliance field. 

OR

High School diploma or equivalent AND (8) years of experience in the financial services industry or a compliance field.
